Terms of Service
Please read these Terms of Service ("Terms") carefully before using the fabrication and design services provided by Magic City Metal Art LLC ("us", "we", or "our"). Your engagement of our services is conditioned upon your acceptance of and compliance with these Terms.
1. Services
Magic City Metal Art LLC provides a range of metalwork services, including but not limited to custom fabrication, artistic sculpture, architectural metal elements, and restoration. The specific services, scope of work, material choices, and delivery timelines will be outlined in a separate Quote or Fabrication Agreement agreed upon by both parties.
2. Client Obligations
To enable us to perform our fabrication duties, the Client shall cooperate by providing accurate measurements, site access for installations, and design feedback in a timely manner. The Client is responsible for the structural integrity of any third-party foundations or mounting surfaces not provided by us, as well as the legality of designs provided for custom builds.
3. Payment Terms
Fees for our services will be detailed in the project quote. Unless otherwise specified, a material deposit is required before fabrication begins, with the remaining balance due upon completion or installation. Failure to make timely payments may result in the suspension of work or a delay in delivery. All deposits are non-refundable once materials have been procured.
4. Timelines and Deliverables
We will make every reasonable effort to meet the project timelines outlined in the quote. However, these timelines are estimates and are subject to material availability and fabrication complexity. Delays caused by the Client's failure to provide approvals, or delays in supply chains for specific alloys, are not the responsibility of Magic City Metal Art LLC.
5. Confidentiality
Both parties agree to keep all non-public information, including proprietary fabrication techniques, custom design blueprints, and financial information, strictly confidential. This obligation will survive the termination of any service agreement.
6. Intellectual Property
The Client retains rights to specific brand assets they provide to us. Magic City Metal Art LLC retains ownership of original artistic designs and technical blueprints unless a transfer of IP is explicitly agreed upon in writing. We retain the right to photograph finished work for our portfolio and marketing purposes unless a privacy non-disclosure is requested.
7. Limitation of Liability
Magic City Metal Art LLC shall not be liable for any indirect, incidental, or consequential damages resulting from the use of our products. In no event shall our aggregate liability exceed the amount paid by you for the specific project in question. We are not liable for natural weathering, patina changes, or oxidation that occurs to metal over time unless covered by a specific finish warranty.
8. Termination
Either party may terminate the fabrication agreement with written notice. Upon termination, the Client is responsible for all material costs and labor hours accrued up to the effective date of termination.
9. Governing Law
These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Magic City Metal Art LLC is registered, without regard to its conflict of law provisions.
